1. Introduction — Acceptance of Terms

Welcome to https://www.krimatix.com (the “Site”). These Terms & Conditions (“Terms”) govern your access to and use of the Site and any services, information or online tools made available on or through the Site by Krimatix Pvt Ltd (“Krimatix”, “we”, “us” or “our”), a private company incorporated in India. By accessing, browsing or using the Site you accept and agree to be bound by these Terms and any policies expressly incorporated by reference (including our Privacy Policy and Cookie Policy). If you do not agree to these Terms, do not use the Site.

These Terms create a binding electronic contract between you and Krimatix; electronic records and contracts are legally valid in India.

2. Definitions

2.1 “User”, “you”, “your”: any visitor, user or person using the Site.

2.2 “Services”: all services described on the Site.

2.3 “User Content”: any content, data or information you submit to the Site.

3. Scope of the Site and Service Disclaimers

3.1 The Site provides information about Krimatix’s services and, where applicable, certain online tools and portals used to request, order or receive services. Unless otherwise agreed in a separate written contract between Krimatix and a client, nothing on the Site constitutes professional advice nor creates a professional-client relationship.

3.2 Background-check specific warning: Krimatix’s reports draw, where applicable, on third-party data sources (public and proprietary). While Krimatix uses industry-standard methods to verify and compile information, Krimatix does not guarantee the accuracy, completeness or timeliness of third-party records; you must obtain any legally required consents and use reports only for lawful purposes and consistent with applicable laws and regulations (for instance, applicable labour, privacy, anti-discrimination and background-screening laws).

4. Eligibility and Account Registration

4.1 You must be legally capable of entering into binding contracts under applicable law and, if asked, must provide accurate, current and complete information. If you register an account, you are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

4.2 If the Site or Services require express consent from the subject of a background check, it is your responsibility to obtain and document that consent; Krimatix will rely on the representation that all consents and legal prerequisites have been obtained.

5. Electronic Contracts & Communications

You agree that communications, consents and contracts formed electronically through the Site (including clickwrap or other online acceptance mechanics) are binding and enforceable in India in accordance with the Information Technology Act and applicable laws.

6. Intellectual Property, Permitted Use & User Content

6.1 All rights reserved. The Site’s content (text, graphics, logos, icons, software, databases and reports) is owned or licensed by Krimatix and protected by Indian and international intellectual property laws. No right, title or interest is transferred to you except a limited, revocable, non-exclusive license to access and use the Site for lawful, personal or internal business purposes, subject to these Terms.

6.2 User Content. By submitting any User Content to the Site, you grant Krimatix a worldwide, royalty-free, non-exclusive, transferable, sublicensable licence to use, copy, distribute, modify, adapt, publish and display such content as reasonably necessary to provide services and operate the Site. You represent and warrant you have all rights and consents necessary to grant this license and that the User Content does not infringe third-party rights.

6.3 Prohibited conduct. You agree not to: (a) use the Site for unlawful, fraudulent, or harmful purposes; (b) interfere with the Site’s operation (including by transmitting malicious code or attempting unauthorized access); (c) submit content that is defamatory, obscene, infringing or otherwise illegal; or (d) circumvent any technical measures, contractual restrictions or rate limits.

7. Copyright and Takedown Policy

7.1 Krimatix respects intellectual property and follows applicable Indian takedown procedures. If you believe content on the Site infringes your copyright, submit a written complaint with full particulars to Krimatix’s designated copyright/grievance contact (see Section 18). Krimatix will act on lawful notices and may remove or disable access while investigating.

7.2 Krimatix seeks to comply with India’s rules and takedown processes and will cooperate with law enforcement and rights holders when required.

8. Links to Third-Party Websites/Third-Party Services

The Site may contain links to third-party websites, services or content. Krimatix does not control third-party sites and is not responsible for their content, privacy practices or availability. Links do not imply endorsement. Use such third-party services at your own risk.

9. Prices, Payments, Taxes & Refunds

9.1 If you purchase paid services, you agree to pay the fees set out in a separate quotation/agreement. All payments are due in the currency specified in such separate quotation/agreement.

10. Confidentiality, Permissible Purpose & Data Protection

10.1 Confidentiality. Both parties shall keep confidential confidential business information disclosed in connection with the Services, except as required by law.

10.2 Permissible purpose & lawful processing. If you use Krimatix’s background-screening services, you must ensure that processing and use of any report is lawful, proportionate and for a permissible purpose, and that required consents or legal bases have been obtained. Krimatix’s Privacy Policy explains how personal data is processed and the rights available to data subjects; by using the Site you consent to that processing as described in the Privacy Policy.

10.3 Krimatix implements reasonable organizational and technical security measures to protect personal data but cannot guarantee absolute security; Krimatix’s liability for data breach is governed by Section 15 (Limitation of Liability) below and applicable law.

11. Disclaimers — No Warranties

To the fullest extent permitted by law, the Site, Services and all materials on the Site are provided “as is” and “as available” without warranty of any kind, express or implied (including merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement). Krimatix does not warrant uninterrupted, timely or secure access.

12. Limitation of Liability

12.1 Krimatix will not be liable for any damages of any kind arising out of or relating to the use or the inability to use of the Site or Services, its content or links, including but not limited to damages caused by or related to errors, omissions, interruptions, defects, delay in operation or transmission, computer virus, line failure and all other direct, indirect, special, incidental, punitive, loss of profit, exemplary or consequential damages whether based on warranty, contract, tort or any other legal theory including Force Majeure event (see Section 15), and whether or not, such organizations or entities were intimated or advised of the possibility of such damages.

13. Indemnity

You shall defend, indemnify and hold harmless Krimatix and its officers, directors, agents and employees from and against any third-party claims, liabilities, damages, losses and costs (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your violation of applicable law; (c) your misuse of the Site or Services; or (d) any claim that User Content you submit infringes third-party rights.

14. Suspension and Termination

Krimatix may suspend or terminate your access to the Site or Services at any time (including for breach of these Terms, suspected fraud, or requests by law enforcement) and to remove material you submit. Sections that by their nature survive termination (including IP, indemnity, disclaimers, limitation of liability, governing law) survive termination.

15. Force Majeure

Krimatix will not be liable for failure or delay in performing obligations due to causes beyond its reasonable control (acts of God, pandemics, strikes, war, governmental acts, connectivity outages, third-party provider failures). Reasonable extension of time will apply.

16. Governing Law, Disputes & Jurisdiction

These Terms are governed by the laws of India. Subject to mandatory law to the contrary, the courts at Hyderabad, Telangana, India shall have exclusive jurisdiction for disputes arising out of or related to these Terms. (Parties may alternatively agree separate dispute resolution provisions in a written engagement contract.)

17. Compliance with Applicable Laws

Krimatix will operate the Site in compliance with applicable Indian statutes and rules that regulate.

18. Grievance Officer & Notices

18.1 Grievance Officer. Krimatix has designated a Grievance Officer to receive and address complaints and takedown requests. Please direct notices, takedown requests or any grievance to:

Krimatix will acknowledge receipt of a grievance within 24 hours and will seek to address it within 15 days, subject to the applicable law.

18.2 Copyright complaints/Takedown. For alleged copyright infringement complaints, provide a written notice with the required particulars as provided under Indian copyright rules; Krimatix will act on valid notices and may remove or disable access pending resolution.

19. Export Controls & Sanctions

You shall not access or use the Site in contravention of applicable export control or economic sanctions laws. By using the Site, you represent you are not located in, nor a national or resident of, a territory or jurisdiction subject to sanctions where use would be illegal.

20. Miscellaneous

20.1 Severability. If a court finds any provision of these Terms unenforceable, the remainder remains in effect.

20.2 Waiver. Failure to enforce a right is not a waiver.

20.3 Assignment. Krimatix may assign its rights and obligations (including in connection with corporate transactions); you may not assign without Krimatix’s consent.

20.4 Entire agreement. These Terms (together with Privacy Policy) are the entire agreement between you and Krimatix concerning the Site.

21. Changes to These Terms

Krimatix may update these Terms from time to time. We will post the revised Terms on the Site with an updated “Last updated” date. Continued use after posting constitutes acceptance of the revised Terms.
